Terms of service

These terms cover your purchase and use of BaseCommerce from Exiid Labs LTD. Buying a licence means you accept them.

What you are buying

A licence to use the BaseCommerce WordPress theme, plus the services attached to it — update delivery, activation, and support — for as long as the licence is active. You are buying a licence to use the software, not ownership of it. Plans differ only in how many sites you may activate; every plan includes the same software and the same support.

We are also building a suite of BaseCommerce plugins (BaseCart, BaseFilters, BaseBoost). None of them has been released, and nothing in your purchase depends on them: the theme is complete on its own. If and when a plugin is released, it is included at no extra charge for licences that are active at that time. We do not commit to a release date, and you should buy on the strength of the theme alone.

Sites and activation

A licence is bound to sites by domain. One activated domain uses one site allowance, and activating a domain you have already activated does not consume a second. If you have used every site your plan allows, release one — from your WordPress admin, or from the licence portal if you no longer have access to the old site — before activating another.

Staging and development domains currently count toward the same site allowance as production domains. Do not activate a licence on sites you build for clients unless your plan covers them.

What you may do

  • Use the software on as many sites as your plan allows, for yourself or for clients.
  • Modify it for your own sites. We do not support modified copies.
  • Build and sell sites for clients using it.

What you may not do

  • Redistribute, resell, sublicense, or publish the software or your licence key.
  • Share a key with people outside your organisation.
  • Remove or defeat the licensing or update mechanism.

The theme is released under the GNU General Public License v3. These terms govern the paid services attached to your key — updates, activation and support — not your GPL rights in the code you have received.

Updates and support

An active licence entitles you to updates and support for as long as it is active. If it lapses, the software you have installed keeps working — we do not remotely disable anything running on your site. You stop receiving new versions and support until you renew.

Support is delivered by email at support@basecommerce.io. It covers defects and questions about the software itself. It does not cover custom development, third-party plugins, or your hosting.

Billing

Plans are billed annually and renew automatically until cancelled. We charge the payment method on file on the renewal date. Cancel any time before then to avoid the charge; see our refund policy for what happens after one.

Agency plans are an annual commitment for at least five sites. You may add sites during the term with prorated billing. Reductions take effect only through a future plan change or renewal process and are not available as a mid-term self-service action.

Prices are shown in EUR. Taxes are added at checkout where we are required to collect them. Collection is handled by Stripe through Exiid Billing when tax settings (for example Stripe Tax) are configured — we do not invent a fixed country list here.

Suspension

We may suspend a licence for chargebacks, fraud, or redistribution of the software or key. We will email you first unless the abuse is ongoing.

Warranty and liability

The software is provided “as is”, without warranty of any kind. We do not warrant that it is free of defects or that it will work with every plugin, host, or WordPress version. To the extent the law allows, our total liability to you is limited to what you paid us in the twelve months before the claim. Nothing here excludes liability that cannot legally be excluded.

Keep backups. You are responsible for your own site.

Changes to these terms

We may update these terms. Material changes are emailed to licence holders at least 30 days before they take effect. Continuing to use the software after that means you accept the new terms.

Governing law

These terms are governed by the law of England and Wales, and disputes go to the courts of England and Wales. If you are a consumer, this does not remove protections you have under the law of your own country, nor your right to bring proceedings there.
